Terms and Conditions

1. Agreement to Terms

By accessing or using The Masonry's website, APIs, SDKs, dashboard, or any of our services (collectively, the “Services”), you agree to be bound by these Terms and Conditions. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

The Masonry provides developer infrastructure tools and related services. Our current offerings include workflow orchestration, web browsing automation, conversation monitoring, form generation, document parsing and generation, electronic signature collection, and AI agent orchestration. We may add, modify, or discontinue tools and features at any time. The Services are available through our dashboard, APIs, SDKs, CLI, and any other interfaces we provide.

3. Account Registration

To use the Services, you must create an account and provide accurate, complete information. You are responsible for maintaining the security of your account credentials, including API keys and access tokens. You are responsible for all activity that occurs under your account.

4. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law or regulation
  • Infringe on the intellectual property or privacy rights of others
  • Transmit malware, viruses, or any code designed to disrupt or damage
  • Attempt to gain unauthorized access to other systems or networks through the Services
  • Use Browse to scrape websites in violation of their terms of service
  • Send spam, phishing, or other unsolicited communications through Convos
  • Generate fraudulent documents or signatures through Docs or Sign

We reserve the right to suspend or terminate accounts that violate these terms, at our sole discretion and without prior notice.

5. Your Content and Data

You retain ownership of all content and data you submit to the Services (“Your Content”). By using the Services, you grant The Masonry a non-exclusive, worldwide, royalty-free license to process, store, and transmit Your Content solely as necessary to provide and improve the Services. This license ends when you delete Your Content or close your account.

You are solely responsible for ensuring you have the right to submit any content to the Services, including documents sent for signature, data extracted from websites, and information collected through forms.

6. Service Usage and Limits

The Services are subject to usage limits based on your subscription plan. We may throttle or temporarily restrict access if usage significantly exceeds your plan limits or threatens the stability of the platform. We will make reasonable efforts to notify you before taking action.

7. Electronic Signatures

The Masonry's Sign service facilitates electronic signatures in compliance with the ESIGN Act and UETA. You acknowledge that electronic signatures collected through Sign are legally binding. The Masonry maintains audit trails for all signature transactions but does not provide legal advice. You are responsible for ensuring your use of electronic signatures complies with applicable laws in your jurisdiction.

8. Intellectual Property

The Masonry and its licensors own all rights, title, and interest in the Services, including all software, documentation, branding, and related materials. These Terms do not grant you any right to use The Masonry's trademarks, logos, or brand features without prior written consent.

Any workflows, forms, templates, or configurations you create using the Services belong to you.

9. Third-Party Integrations

The Services may integrate with third-party platforms and services. Your use of those integrations is subject to the respective third-party terms. The Masonry is not responsible for the availability, accuracy, or practices of third-party services.

10. Availability and Support

We aim to keep the Services available and reliable, but we do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance with reasonable advance notice. Unscheduled downtime may occur and we will work to resolve issues promptly.

11. Limitation of Liability

To the maximum extent permitted by law, The Masonry shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Services.

Our total liability for any claim related to the Services shall not exceed the amount you paid to The Masonry in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless The Masonry, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

13. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Services at least 30 days before they take effect. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

14. Termination

You may close your account at any time. We may suspend or terminate your access to the Services for violation of these Terms or for any reason with 30 days notice. Upon termination, your right to use the Services ceases immediately. We will make your data available for export for 30 days after termination, after which it may be deleted.

15. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved in the state or federal courts located in Austin, Texas.
